You, or the company you represent, are about to enter into a Confidentiality Agreement as a prerequisite to Rent Roll Sales Agency disclosing confidential and commercially sensitive information to you.

By accepting this Agreement, you acknowledge and agree that:

• You are responsible for any misuse or unauthorised disclosure of Confidential Information by your directors, employees, advisers, financiers, or agents.
• You must not directly or indirectly contact any owner, landlord, client, employee, or representative of the business or rent roll except through Rent Roll Sales Agency.
• Confidential Information is provided solely for evaluating a proposed rent roll or agency transaction.

Confidential Information has genuine commercial value. Any unauthorised use or disclosure—intentional or otherwise—may result in significant financial and commercial loss. Rent Roll Sales Agency (and/or its client) may seek immediate injunctive relief and damages for any breach.

BACKGROUND
The parties intend to discuss a proposed rent roll sale, purchase, appraisal, or related property management transaction (“Proposed Transaction”). Confidential Information is disclosed solely for this purpose.

KEY TERMS

• This Agreement applies to all Confidential Information disclosed before or after acceptance and continues while such information remains confidential.
• All Confidential Information must be kept secure and not copied, shared, or used for any purpose other than evaluation.
• Permitted disclosure is limited to professional advisers bound by equivalent confidentiality obligations or where required by law.
• All Intellectual Property remains the property of Rent Roll Sales Agency or its clients.
• Information is provided “as is” without warranty. Recipients must conduct their own enquiries.
